1. Jurisdiction and licensing

Sanctum Law Professional Corporation (the “Firm”) is a professional corporation registered under the laws of the Province of Ontario, Canada. Our lawyers are licensed members in good standing of the Law Society of Ontario. That licence authorises practice in Ontario, under the rules of the Law Society and the laws of Ontario and of Canada.

Any description of the Firm as a Canadian law firm refers to that registration and licensure in Ontario, and to nothing wider.

2. International and multi-jurisdictional matters

Where we advise on a matter arising in a jurisdiction outside Canada, we do so only under one of these conditions:

• the lawyer concerned holds an active licence, registration or equivalent authorisation from the competent regulator in that jurisdiction; or
• the matter is handled in formal association with an independently licensed law firm or practitioner authorised to practise there (an “Associated Firm”).

In every matter involving a non-Canadian jurisdiction we identify the licensing arrangement or the Associated Firm before any substantive work begins. Do not assume cross-border capacity on our part without written confirmation from us.

3. Speak with us first on any cross-border matter

We take no responsibility for work done, advice given or services provided in connection with a jurisdiction outside Canada where you have not first discussed the matter in full with one of our lawyers, in writing, before the work starts. That conversation is how we:

• confirm whether we hold the licence or authorisation the jurisdiction requires;
• decide whether an Associated Firm will be engaged, and on what terms;
• set out what we can lawfully do in connection with that jurisdiction;
• record the terms of engagement in writing before any work is done.

Without that prior communication and a written confirmation of the engagement, we bear no responsibility for any work product, advice or service related to that jurisdiction.

4. Before a retainer is signed

Until you and the Firm have signed a written retainer agreement, everything provided through this website, and everything exchanged with us before that agreement, is general legal information and preliminary discussion only. It:

• does not establish a solicitor-client relationship;
• does not attract solicitor-client privilege;
• is not legal advice on your own circumstances, and should not be relied on as such.

If your matter is in another jurisdiction, we encourage you to seek independent legal advice there before acting on anything we have said in a preliminary discussion.

5. No solicitor-client relationship

Visiting this website, sending the intake form, sending an email, writing in the chat window or speaking with us in a preliminary conversation does not make you our client. A solicitor-client relationship begins only when we accept a retainer in writing and a retainer agreement or engagement letter is signed. Until then we owe no professional duty of care in connection with anything raised, and nothing shared should be treated as legal advice.

6. Limitation of liability

To the fullest extent the law allows, the Firm, its lawyers, employees and agents are not liable for any loss, damage, cost or expense of any kind suffered by any person in connection with:

• reliance on information, content or communication provided through this website or in preliminary discussion before a retainer is signed;
• any matter in a jurisdiction outside Canada where the prior written communication and authorisation in section 3 was not obtained;
• work done or advice given through an Associated Firm in another jurisdiction, which is subject to that firm’s own terms, liability and professional obligations;
• any delay, error or omission arising from a failure to speak with us before work began in a foreign jurisdiction.

7. The content of this site

Everything published on this website, including the articles, the practice-area pages, the descriptions of how matters run and the general legal information, is for general information only. It is not legal advice and must not be relied on as such. Outcomes turn on the facts of each matter and the law of the jurisdiction concerned.

We make no representation that the information here is complete, accurate or current at the moment you read it, and we accept no liability for errors or omissions in it. The estate administration tax figure on the Wills and Estates page is arithmetic only, on the number you type, and the lawyer confirms the amount.

8. Changes

We may amend this disclaimer at any time. The revised version takes effect when it is posted here, with a new date at the top. Continuing to use the site after a change means you accept it. Our privacy policy says what we do with the information you give us.
