IMPORTANT NOTICE: Please read this disclaimer carefully before using this website or engaging with any content, information, or services provided herein. By accessing this website or contacting our firm, you acknowledge and agree to the terms set out below.

1. Jurisdiction and Licensing

Sanctum Law (the "Firm") is a law firm duly registered and incorporated under the laws of the Province of Ontario, Canada. Our lawyers are licensed members in good standing of the Law Society of Ontario ("LSO") and are authorized to practise law in Canada in accordance with applicable provincial and federal regulations.

The Firm's primary practice is governed by Ontario law and Canadian federal law. Any representation of the Firm as a Canadian law firm refers exclusively to our registration and licensure within Canada under the laws of Ontario.

2. International and Multi-Jurisdictional Practice

Where our lawyers provide legal services or advice in connection with matters arising in jurisdictions outside of Canada, such services are rendered exclusively under one of the following conditions:

  • The relevant lawyer holds an active licence, registration, or equivalent authorization granted by the competent regulatory authority in that specific jurisdiction; or
  • The matter is handled in formal association with an independently licensed and qualified law firm or legal practitioner duly authorized to practise law in that jurisdiction (an "Associated Firm").

In all cases involving non-Canadian jurisdictions, the Firm will clearly identify the applicable licensing arrangement or Associated Firm relationship prior to commencing any substantive work. No assumption of cross-border legal capacity should be made by the client or any third party without written confirmation from the Firm.

3. Mandatory Prior Communication for Multi-Jurisdictional Matters

The Firm expressly disclaims all responsibility and liability for any work conducted, advice rendered, or services provided in connection with any jurisdiction outside Canada where prior written communication with a qualified lawyer of the Firm has not taken place before work is commenced.

If your matter involves legal issues arising in or connected to a jurisdiction other than Canada, you are required to discuss your matter in full with one of our lawyers before any legal work is undertaken. This prior consultation is necessary to:

  • Confirm whether the Firm holds the necessary licence or authorization in the relevant jurisdiction;
  • Identify whether an Associated Firm will be engaged and under what terms;
  • Clarify the scope of services the Firm is able to lawfully provide in connection with that jurisdiction;
  • Establish the terms of engagement in writing before any legal services are rendered.

Failure to initiate this prior communication and obtain written confirmation of the applicable engagement arrangement will result in the Firm bearing no responsibility whatsoever for any work product, advice, or service related to that jurisdiction.

4. Nature of Services — Consultancy and Non-Reserved Legal Tasks

Unless a formal solicitor-client retainer agreement has been executed in writing between the client and the Firm, all services provided through this website, and all communications and information exchanged prior to such an agreement, should be understood as consultancy services involving non-reserved legal tasks only.

In this capacity, the Firm operates as a legal consultancy providing general legal information, research, analysis, drafting assistance, and advisory support. Such services:

  • Do not constitute the practice of reserved legal activities as defined under applicable law in any jurisdiction where such activities are restricted to licensed practitioners;
  • Do not establish a solicitor-client relationship unless expressly confirmed in a signed written retainer agreement;
  • Do not attract solicitor-client privilege unless and until a formal retainer is established;
  • Should not be relied upon as formal legal advice specific to your circumstances without engaging the Firm under a written retainer.

Clients and prospective clients are strongly encouraged to seek independent legal advice in the relevant jurisdiction before acting on any information or guidance provided by the Firm in a consultancy capacity.

5. No Solicitor-Client Relationship

Accessing this website, submitting a contact form, sending an email, or engaging in preliminary communications with the Firm does not create a solicitor-client relationship. A solicitor-client relationship is established only upon the Firm's written acceptance of a retainer and execution of a formal engagement letter or retainer agreement.

Until such time as a formal retainer is established, the Firm does not owe any professional duty of care in connection with any matter raised during preliminary communications, and no information shared during such communications should be treated as legal advice.

6. Limitation of Liability

To the fullest extent permitted by applicable law, the Firm, its lawyers, associates, employees, and agents shall not be liable for any loss, damage, cost, or expense of any nature whatsoever incurred or suffered by any person in connection with:

  • Reliance on any information, content, or communication provided through this website or in preliminary consultations prior to a formal retainer being established;
  • Any legal matter in a jurisdiction outside of Canada where prior written communication and authorization has not been obtained in accordance with Section 3 of this Disclaimer;
  • Work conducted or advice rendered through an Associated Firm in another jurisdiction, which shall be subject to the terms, liability framework, and professional obligations of that Associated Firm and its governing body;
  • Any delay, error, or omission arising from failure to initiate prior communication as required before work is commenced in a foreign jurisdiction.
